Item 8.01 Other Events.
On January 27, 2011, the Board of Directors of Visualant, Inc. (the Company) amended the Companys Audit, Compensation and Nominations and Governance Committee Charters. Copies of these Charters are filed hereto as Exhibits 99.1 - 99.3 respectively.
In addition, on January 27, 2011, the Companys Board of Directors amended the Companys Code of Conduct & Ethics Policy (Code of Ethics). A copy of the Code of Ethics is filed hereto as Exhibit 14.1
